MCCA Constitution & Bylaws
The Mississippi Municipal Clerks
and Tax Collectors Association (MCCA) operates under the direction and
authority of its constitution and bylaws.
Constitution
Article I
Name:
This association shall be called: The Mississippi
Municipal Clerks and Tax Collectors Association.
Article II
Object:
The object of this association shall be to provide
a forum for the discussion of problems common to the office of
the Municipal Clerks and Tax Collectors of the Municipalities
of this State, and to seek the solution thereof through the exchange
of ideas and experiences' to promote the general welfare of Mississippi
municipalities through management of the affairs of the office
of the above named, to better enable its members to fulfill and
discharge the duties of their respective offices; and to upgrade
the benefits, welfare, and standards of the individual members.
Article III
Membership:
SECTION ONE: Municipal Clerks and Tax Collectors of municipal legislative
bodies and other officials or persons vested with the same or similar
powers and duties as are prescribed by state statutes and/or municipal
charters, with the municipality's membership dues being current,
shall be eligible for membership in the Association.
SECTION TWO: Any member leaving his/her office, having served their
prospective municipality ethically and honorably, shall be eligible
to retain a non-voting associate membership in the association -
membership fee $25.00 annually
Article IV
Officers:
SECTION ONE: The officers of this association shall consist of
the President, First Vice-President, Second Vice-President, Secretary,
Treasurer. The officers shall be elected at the annual meeting of
the Association which shall be held during the annual meeting of
the Mississippi Municipal Association. Newly elected officers shall
assume the duties of office at such annual meeting.
SECTION TWO: The President, First Vice-President, and Second Vice-President
shall be elected to coincide with the officials of the Mississippi
Municipal Association from their respective Districts.
SECTION THREE: The Treasurer and Secretary shall be elected for
a term of three (3) years and one (1) year respectively.
SECTION FOUR: The elected officers of this organization and the
Immediate Past President shall be the officers of the Board of Directors.
SECTION FIVE: The Board of Directors shall have authority to fill
any unexpired term of office until the next annual meeting.
Article V
Board of Trustees:
SECTION ONE: There shall be a Board of Trustees composed of three
(3) association members.
SECTION TWO: The three (3) trustees shall be elected for three
year terms which shall be concurrent with the President, First Vice-President
and Second Vice-President. Each trustee shall be elected from the
same districts as the President, First Vice-President and Second
Vice-President.
Article VI
Meetings:
The association shall meet annually during the Mississippi Municipal
Association Convention and Certification Update. In addition, an
interim meeting shall be held each year preceding the annual meeting
at a time, date, and place to be selected by the Board of Directors.
Article VII
Fiscal Year:
The Association's fiscal year shall be July 1 through June 30.
Article VIII
Amendments:
SECTION ONE: This constitution may be amended at any annual meeting
of the Association in which a quorum is present, by a two-thirds
vote of all members present.
SECTION TWO: By-laws and standing rules may be adopted, amended
or repealed by any annual meeting by a two-thirds vote of members
present.
Bylaws
Article I
Duties of Officers:
SECTION ONE: The President shall preside at all meetings of the
association and enforce the constitution and by-laws, and appoint
committees; shall have general supervision of all affairs of the
association; and shall perform such other duties as usually pertain
to the office of president.
SECTION TWO: The First Vice-President, in the absence of the President,
shall preside at the meeting and assume all the duties of the president.
SECTION THREE: The Second Vice-President, in the absence of the
First Vice-President and the President shall preside at the meetings
and assume all the duties of the president.
SECTION FOUR: The Secretary shall keep minutes of all meetings
of the association.
SECTION FIVE: The Treasurer shall act as the custodian of all funds
which shall be paid into the association. The Treasurer shall report
as often as required and render an itemized report at the annual
meeting of the association.
The President is authorized to sign checks in addition to the Treasurer.
All expenditures should be submitted to the President of the association
for approval prior to payment.
The Treasurer of the association should forward a copy of the bank
statement to the President each month.
Article II
Duties of Board of Trustees:
SECTION ONE: The Board of Trustees shall prepare and recommend
a proposed budget to the Board of Directors then will present the
budget for adoption at the annual meeting during the Mississippi
Municipal Association Convention.
SECTION TWO: The Board of Trustees shall act in fiduciary capacity
and shall insure the compliance with the constitution and by-laws
of the association.
Article III
Election of Officers:
SECTION ONE: The Executive Committee, as the nominating committee
of the association, shall have the authority to prepare and submit
a slate of candidates for nomination at the annual meeting of the
association. Candidates may also be nominated from the floor and
shall be voted on by the members of the Association and elected
in accordance with Section Two (2), Article Four (4) of the constitution.
SECTION TWO: No officer shall be eligible to succeed himself/herself
except for the office of the Treasurer.
Article IV
Election of Trustees:
SECTION ONE: Trustees are not considered officers of the association
and are eligible to be nominated and/or elected to an officer position.
Article V
Committees:
SECTION ONE: The Executive Committee shall be the only standing
committee of the association and it shall be composed of the President,
First Vice President, Second Vice President, Secretary, Treasurer,
and the Immediate Past President of the Association.
SECTION TWO: The President shall have the authority to designate
and appoint temporary committees as may be required to further the
purposes and objectives of the association.
Article VI
Quorum:
A majority of the paid membership present at this association's
meetings shall constitute a quorum.
Article VII
Dues:
The annual dues shall be based on the population of a municipality
using the latest US Census report and in the following manner:

Article VIII
Voting Rights:
SECTION ONE: Each municipality shall be entitled to only one vote.
SECTION TWO: In municipalities having more than one active member,
the vote shall be prorated among the active members of the municipality
that are present, or should the members of that municipality elect
to do so, they may appoint one member to cast their prorated vote
by proxy. In no event shall a municipality be denied a full vote
even though only one active member is present at an association
meeting.
Article IX
Officers Expenses:
SECTION ONE: The President shall be reimbursed for actual expenses
incurred for attending IIMC meetings. In addition, the President
shall be reimbursed for attending meetings which are in addition
to meetings normally attended and paid by the municipality represented.
SECTION TWO: The First Vice-President shall be reimbursed for the
registration fee to attend the IIMC Annual Conference and shall
be allowed $250.00 reimbursement for expenses.
SECTION THREE: The Second Vice-President shall be allowed $250.00
in expense reimbursement for attending the IIMC.
SECTION FOUR: The Treasurer shall be allowed $250.00 in expense
reimbursement for attending the IIMC.
SECTION FIVE: The Secretary shall be allowed $250.00 in expense
reimbursement for attending the IIMC.
SECTION SIX: If the First Vice-President, Second Vice-President,
Treasurer, or Secretary elect not to attend the IIMC Annual conference,
the $1,000.00 allocated for the four or any part thereof shall be
divided and shared equally among any other association member who
attends the conference for reimbursement of expenses, with prorated
share not to exceed $250.00 per person. (Amendment 7-16-97)
